Terms and Conditions

These Terms and Conditions of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and DriverAI, Inc., including its affiliates and subsidiaries (“DriverAI,” “Company,” “we,” “us,” or “our”), governing your access to and use of the ZipE mobile application, DriverAI platforms, software, websites, APIs, analytics services, and related offerings (collectively, the “Services”).

By downloading, installing, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

1. Acceptance of Terms

Your use of the Services constitutes acceptance of these Terms and any additional policies referenced herein, including the DriverAI Privacy Policy, which is incorporated by reference. These Terms apply whether you are an individual consumer, a business customer, or an authorized representative of an organization.

If you access the Services on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

2. Definitions

• “ZipE App” means the DriverAI mobile application offered to Users.

• “Personal Data” means information that identifies, relates to, or could reasonably be linked with an identifiable individual.

• “User Content” means any data or materials submitted through the Services.

• “Analytics Data” means aggregated, anonymized, or de-identified data derived from use of the Services.

• “Customer” means a business or organization using DriverAI analytics or enterprise services.

3. Description of the Services

DriverAI provides indoor positioning, location-based services, and analytics through smartphone-based technology, including the ZipE App. Services may include indoor mapping, movement analytics (“zip lines”), digital twin representations, dashboards, reporting, and related insights.

DriverAI does not guarantee uninterrupted availability, accuracy, or completeness of the Services and may modify, suspend, or discontinue features at its discretion.

4. Eligibility and User Requirements

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Services. By using the Services, you represent and warrant that you meet this requirement and will comply with all applicable laws and regulations.

5. Account Registration and Security

Certain features require account registration. You agree to provide accurate information, maintain confidentiality of credentials, and notify DriverAI of any unauthorized access. You are responsible for all activity conducted under your account. Account deletion requests may be submitted to security@driverai.io.

6. License Grant and Restrictions

DriverAI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the ZipE App and Services solely for lawful purposes and in accordance with these Terms.

You may not reverse engineer, decompile, disassemble, misuse, or interfere with the Services. All rights not expressly granted are reserved by DriverAI.

7. User Conduct and Acceptable Use

You agree not to use the Services for unlawful, harmful, deceptive, or abusive purposes. DriverAI may monitor usage and enforce compliance, including suspension or termination.

8. User Content and Data

You retain ownership of User Content. By submitting User Content, you grant DriverAI a worldwide, royalty-free, non-exclusive license to use, process, store, analyze, and display such content solely to operate and improve the Services.

DriverAI may generate Analytics Data from usage. Analytics Data does not identify individuals and is owned exclusively by DriverAI.

9. Data Privacy and Alignment with Privacy Policy

DriverAI collects, processes, and uses Personal Data in accordance with its Privacy Policy, available at https://www.driverai.io/privacystatement (or successor URL), which is incorporated by reference.

The Privacy Policy describes:

• Categories of data collected

• Purposes of processing

• Sharing and disclosure practices

• Retention periods

• User rights and choices

• Security measures

If there is a conflict between these Terms and the Privacy Policy regarding data protection, the Privacy Policy controls.

10. Data Security and Retention

DriverAI implements reasonable administrative, technical, and physical safeguards to protect Personal Data. No system is entirely secure. Personal Data is retained only as long as necessary to provide Services, comply with law, or resolve disputes. Requests for data deletion may be submitted to security@driverai.io. Identity verification is required.

11. GDPR Rights (EEA / UK)

If you are located in the European Economic Area or United Kingdom, you have rights under the GDPR, including the right to access, correct, delete, restrict, or port your Personal Data; object to processing; withdraw consent; and lodge complaints with supervisory authorities. Requests may be submitted to security@driverai.io. Identity verification is required.

12. CCPA & CPRA Rights (California Residents)

If you are a California resident, you have rights under the CCPA/CPRA, including the right to know, access, delete, correct, and limit use of Personal Data, and the right to non-discrimination. DriverAI does not sell Personal Data. Requests may be submitted to security@driverai.io. Identity verification is required.

13. Children’s Data (COPPA)

The Services are not intended for children under 13. DriverAI does not knowingly collect data from children. If such data is identified, it will be deleted.

14. Payments, Fees, and Subscriptions

Certain Services may require payment. Fees are non-refundable unless stated otherwise and subject to change. Failure to pay may result in suspension or termination.

15. Intellectual Property Rights

All intellectual property in the Services, including software, algorithms, designs, and trademarks, is owned by DriverAI or its licensors. No ownership rights are transferred.

16. Third-Party Services

The Services may integrate with third-party services. DriverAI is not responsible for third-party content, policies, or practices.

17. Updates and Modifications

DriverAI may update or modify the Services or these Terms at any time. Continued use constitutes acceptance of changes.

18. Term and Termination

These Terms remain in effect until terminated. DriverAI may suspend or terminate access for violations or lawful reasons. Upon termination, your license ends and access ceases. Certain provisions survive termination.

19. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” DRIVERAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRIVERAI SHALL NOT BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

21. Indemnification

You agree to indemnify and hold harmless DriverAI from claims arising out of your use of the Services, violation of these Terms, or violation of applicable law.

22. Governing Law and Venue

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. Venue lies exclusively in Arizona courts.

23. Apple App Store Terms

If downloaded from Apple’s App Store:

• Apple is not a party to these Terms

• Apple has no support or liability obligations

• Apple is a third-party beneficiary entitled to enforce these Terms

24. Google Play Terms

If downloaded from Google Play:

• Google has no responsibility for the App or Services

• Use is subject to Google Play policies

25. Assignment

You may not assign these Terms without consent. DriverAI may assign freely.

26. Severability and Waiver

If any provision is unenforceable, the remainder remains in effect. Failure to enforce is not a waiver.

27. Entire Agreement

These Terms constitute the entire agreement between you and DriverAI regarding the Services.
